Transaction Terms

Introduction: These Transaction Terms between Admins and Members ("Transaction Terms") set out the rules which govern each transaction between an Admin and a Member (as defined below) on TeleMoi.

Applicability of Transaction Terms: Each time an Admin/Member Transaction (as defined below) is initiated on TeleMoi, these Transaction Terms will apply to the exclusion of any other terms which the Admin or Member may propose to each other. These Transaction Terms legally bind the Admin and Member participating in the Admin/Member Transaction. All terms set forth in TeleMoi's Privacy Policy and Terms and Conditions are hereby incorporated by reference. To the extent there is any inconsistency between those documents and these Transaction Terms, these Transaction Terms shall prevail solely in relation to the Admin/Member Transaction.

Parties: The only parties to these Transaction Terms are the Admin and Member participating in the Admin/Member Transaction. Neither PFJC Digital Inc. (operating as TeleMoi) nor any of its subsidiaries or affiliates grant any rights in respect of, nor participate in, any Admin/Member Transaction, except that PFJC Digital Inc. acts solely as a payment intermediary in accordance with the instructions set out in Section 4.

1. Interpretation: In these Transaction Terms, defined terms have the following meanings:

  • "TeleMoi" means the website, applications, and subdomains operated by PFJC Digital Inc.

  • "Content" means any material uploaded to TeleMoi by any User (whether an Admin or a Member), including photos, videos, audio, livestreams, data, text, metadata, images, and interactive features.

  • "Admin" means a Creator who has set up their TeleMoi account to post Content to be viewed by other Users.

  • "Member" means a User who purchases access to or subscribes to an Admin to view the Admin's restricted Content.

  • "Admin/Member Transaction" means any transaction between an Admin and a Member by which access is granted to the Admin's Content, including a Subscription or direct purchase.

  • "Member Payment" means any and all payments made by a Member in respect of any Admin/Member Transaction.

  • "Subscription" means a Member's recurring subscription to an Admin's community.

2. Automatic Renewal Subscription, Pricing, and Tax Terms: a. By entering into an Admin/Member Transaction, the Member agrees to pay the Member Payment applicable to the relevant transaction in accordance with the pricing published on the Admin's community page. The Member and the Admin authorize PFJC Digital Inc. to act as a payment intermediary to collect, hold, and process the Member Payment, and to pay out the sums due to Admins. b. Admins are solely responsible for determining (within the platform's parameters) the pricing applicable to their Content. c. Taxes: TeleMoi does not calculate, collect, or remit sales tax, VAT, or GST on behalf of Admins. Admins act as the seller of record for their Content and are 100% responsible for their own tax calculations and liabilities. Admins may choose to include any applicable taxes within their listed purchase price. PFJC Digital Inc. is only responsible for taxes on its own corporate service fees. d. Service Fees: During checkout, a small service fee is added to the Member's total. These small service fees cover secure card processing, platform operations, and 24/7 customer support for your orders. By adding these to your total, you guarantee that 100% of your subscription payment goes straight to the content creator. Members will receive full purchase receipts and an email detailing the total charge. e. To enter an Admin/Member Transaction, Members must attach a valid payment card to their account. f. By entering into these Transaction Terms, the Member authorizes PFJC Digital Inc. to supply the Member's payment details to a third-party payment provider (Stripe, Inc.) for the purpose of processing the payment. Members agree to be bound by Stripe's terms, including the Stripe Services Agreement and Connected Account Agreement. g. The payment provider will take periodic payments for recurring Subscriptions and immediate payments for one-time transactions. Members authorize these payments to be debited automatically. h. Billing Descriptor (Bank Statements): All purchases and subscriptions will appear on the Member's bank or credit card statement as "TELEMOI.COM". If a Member does not remember what a charge was for, they must log into their TeleMoi account to review their purchase history and receipts, or contact TeleMoi support for assistance, before initiating any dispute or chargeback with their bank. i. Cancellation: Either TeleMoi or the Admin may cancel a Member's Subscription at any time. Upon cancellation, the Member retains access to the Content through the end of the paid renewal period.

Members may cancel their subscription at any time by:

  • Clicking "Cancel Subscription" in the memberships tab of their user settings;

  • Contacting the Admin of the community; or

  • Contacting us at info@telemoi.com.

SUBSCRIPTION PAYMENTS AUTOMATICALLY RENEW FOR INDEFINITE SUCCESSIVE RENEWAL TERMS FOR THE SAME PERIOD AS THE INITIAL TERM, UNTIL CANCELED BY THE MEMBER OR TELEMOI. TO STOP PAYING MONTHLY CHARGES, THE MEMBER MUST CANCEL THEIR SUBSCRIPTION PRIOR TO THE NEXT BILLING DATE.

3. Admin Payouts and Withdrawal Methods: TeleMoi offers various withdrawal methods. Full transparency regarding fees is provided in text before initiating any transfer.

  • Stripe Connect Withdrawals: Admins who utilize the integrated Stripe Connect withdrawal method will receive 100% of their received payments.

  • Alternative Withdrawals (Bank Transfer, BTC, etc.): Admins who choose alternative payout methods are solely responsible for all associated exchange fees, network fees, and transaction costs charged by those third-party networks or banks.

  • Our support team is available to assist with any technical misunderstandings regarding payouts.

4. License of Content: Once the Member has made the Member Payment, the Admin grants the Member a revocable, limited license to access the applicable Content. This license is non-transferable, non-sublicensable, and non-exclusive, and permits the Member to access and view the Content for private, personal, non-commercial use on a personal device, strictly in accordance with TeleMoi's Acceptable Use Policy.

5. Ownership of Content: The license granted does not result in the Member acquiring any ownership rights, intellectual property rights, or copyrights to the Content, which are strictly retained by the Admin.

6. Digital Goods No-Refund Policy and Dispute Resolution: Because digital content is immediately consumable, all sales on TeleMoi are final and non-refundable. This policy strictly protects Admins from users consuming content and attempting to steal it via unjustified refunds. a. Tier 1 (Admin Resolution): Members seeking a refund must first contact the Admin of the community directly. Admins possess the sole discretion to issue refunds to their Members. Members must allow the Admin a minimum of fourteen (14) days to review and respond to a refund request. b. Tier 2 (Platform Escalation): Members may only contact TeleMoi for a refund if they have exhausted the 14-day Admin resolution period without success. c. Fraud Exception: TeleMoi will intervene, investigate, and issue a refund if there is proven financial fraud (e.g., stolen credit cards). In such proven cases, the offending account will be permanently banned. TeleMoi will fully comply with lawful law enforcement investigations regarding fraud, but we will not share any Admin or Member information with third parties without legally binding proof or a valid court order. d. Misleading Marketing: While aspirational marketing is permitted, pure lies or explicitly misleading information regarding the deliverables of a purchase are prohibited. Users may report explicitly misleading sales tactics to TeleMoi. TeleMoi reserves the right to conduct an internal investigation and take any action it deems necessary, including taking no action, at its sole and absolute discretion. e. If TeleMoi is forced to issue a refund to prevent a chargeback or resolve proven fraud, TeleMoi reserves the right to deduct that refunded amount and any associated chargeback fees directly from the Admin’s pending or future earnings.

7. Obligations between Admin and Member: In respect of every Admin/Member Transaction: a. Both parties agree to comply with TeleMoi's Rules and Terms and Conditions. b. The Member agrees to make the required payment and not initiate fraudulent chargebacks. c. The Admin agrees to make the Content available once payment is confirmed. d. The Admin warrants they possess all necessary rights and copyright permissions to license the Content. e. The Admin is solely responsible for creating Content. The Admin provides no guarantees that they will continue to create or upload Content on an ongoing basis. f. Accessing the Admin's Content is entirely at the Member's own risk.

8. No Guarantees: The Member acknowledges that Admins may add or remove Content at any time. Furthermore, access to Content may become impossible if the Admin’s or Member’s account is deleted, or if the TeleMoi platform experiences downtime.

9. Terms Relating to Disputes: If there is a dispute between an Admin and a Member relating to an Admin/Member Transaction, both parties acknowledge that PFJC Digital Inc. is under no obligation to become involved and will not be held liable for any such dispute. We are not liable for the independent business relationship between the Admin and the Member, and we do not provide legal advice regarding such matters.
