PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THIS IS A BINDING LEGAL AGREEMENT BETWEEN YOU AND PFJC DIGITAL INC.
SECTION 13 OF THIS AGREEMENT CONTAINS A BINDING DISPUTE RESOLUTION AND ARBITRATION CLAUSE, ALONG WITH A CLASS ACTION WAIVER AND JURY TRIAL WAIVER. THIS SECTION GOVERNS HOW DISPUTES BETWEEN YOU AND US ARE RESOLVED. EXCEPT FOR CERTAIN SPECIFIED CLAIMS, YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS EITHER BY BINDING ARBITRATION OR IN THE ONTARIO SMALL CLAIMS COURT IN TORONTO, ONTARIO, CANADA. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR JURY TRIAL.

1. Purpose and Acceptance of Terms

TeleMoi (“TeleMoi,” the “Platform”) is owned and operated by PFJC Digital Inc. (“PFJC Digital,” “we,” “us,” or “our”), a corporation incorporated under the laws of Ontario, Canada. TeleMoi provides a technology platform that allows creators and group administrators (“Admins” or “Creators”) to host digital communities, distribute educational material, publish exclusive content, and monetize directly with their members, followers, and subscribers (“Members”).
By accessing our website, applications, APIs, or any related services (collectively, the “Services”), whether as a visitor, Member, or Admin, you agree to be bound by these Terms and Conditions (the “Agreement”) and our Privacy Policy. If you do not agree to every provision of this Agreement, you are strictly prohibited from accessing or using the Services.

2. Eligibility, Minors, and Parental Supervision

Minimum Age to Access: You must be at least thirteen (13) years old to create a Member account, stream, or view content on TeleMoi. Access by anyone under 13 is strictly prohibited.
Parental Consent and Supervision: If you are between the age of 13 and the age of legal majority in your jurisdiction (typically 18), you may only use the Services as a Member with the explicit permission and active supervision of your parent or legal guardian.
Disclaimer of Liability: It is the sole responsibility of the parent or legal guardian to determine whether the content on TeleMoi is appropriate for their child and to continuously supervise their activity. PFJC Digital Inc. assumes no responsibility or liability for a minor’s use of the Platform or their exposure to user-generated content.
Authority: If you access or use the Services on behalf of a company, entity, or organization, you represent and warrant that you are an authorized representative of that entity with the authority to bind that entity to this Agreement.
Compliance with Law: You represent and warrant that your access to and use of the Services complies with all local, provincial, state, national, and international laws, treaties, and regulations applicable to you.

3. Monetization, Mandatory Verification, and Minor Creators

To maintain platform safety, prevent fraud, and ensure legal compliance, TeleMoi enforces strict identity verification for all commercial accounts:

Mandatory Didit Verification: Before offering subscriptions, selling digital content, or receiving community payouts, the account holder must successfully complete identity and biometric liveness verification through our designated third-party verification partner, Didit.
Selling Content as a Minor: Because minors cannot enter into legally binding financial contracts, users under the age of 18 are strictly prohibited from independently selling content or operating as an Admin/Creator.
Parental Verification for Minor Creators: If a minor wishes to sell content, their parent or legal guardian must create, verify, and operate the Admin account on their behalf. The parent must verify the account using their own government ID via Didit. By doing so, the parent or guardian becomes the official legal account holder, the primary point of contact, and is solely responsible and legally liable for all User Content, tax obligations, refunds, and chargebacks.
Suspension of Unauthorized Minor Accounts: If TeleMoi detects that a minor has attempted to sell content or operate an Admin account without parental verification, the account will be immediately suspended. The minor's parent or legal guardian must contact TeleMoi Support to intervene before the suspended account is permanently deleted.
Refusal or Revocation: PFJC Digital Inc. reserves the right to deny verification, suspend access, withhold pending payouts, or permanently terminate any account if Didit verification fails, is flagged for fraud or manipulation, or is subsequently revoked.

4. Account Access, Security, and Roles

Limited License: Subject to your full and ongoing compliance with this Agreement, PFJC Digital Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services.
Member Usage: Accounts registered as Members are granted access strictly for personal, non-commercial use. Members may not record, scrape, capture, redistribute, resell, or commercially exploit any content viewed or accessed on TeleMoi.
Admin/Creator Usage: Admins are authorized to use the Services for lawful commercial monetization of their communities and content, strictly subject to Section 5 (Acceptable Use Policy) and Section 7 (Financial Terms).
Account Security: You are solely responsible for maintaining the confidentiality of your account login credentials. You must immediately notify us of any suspected breach of security or unauthorized access to your account. PFJC Digital Inc. is not liable for any losses or damages caused by any unauthorized use of your account.

5. Acceptable Use Policy (AUP)

You agree that you will not post, upload, transmit, distribute, or otherwise facilitate any User Content or engage in any conduct that violates this Acceptable Use Policy.

a. Strict Prohibition on Nudity and Sexual Content

TeleMoi is a platform for educational, professional, lifestyle, and creative communities.

Absolute Ban: Full nudity, visible genitalia, sexually explicit conduct, pornography, sexual solicitation, and escort services are strictly prohibited on TeleMoi.
Provocative Content Discretion: While non-explicit artistic, fitness, or creative content is permitted, PFJC Digital Inc. reserves sole and unreviewable discretion to determine whether any content crosses into prohibited sexual material. Content deemed excessively provocative, lewd, or sexually suggestive may be removed immediately, and repeated violations will result in permanent account termination without refund.

b. Prohibited Conduct and Content

You shall not:

Upload or distribute content that exploits, harms, or threatens minors in any way, including any material depicting child sexual abuse or exploitation. Any such violation will result in immediate termination, forfeiture of funds, and immediate reporting to law enforcement authorities.
Post content that is defamatory, libelous, hateful, racially or ethnically offensive, harassing, threatening, or that promotes violence, terrorism, or self-harm.
Upload, share, or sell content that infringes or misappropriates any copyright, trademark, patent, trade secret, privacy right, publicity right, or other proprietary right of any third party.
Impersonate any person or entity, misrepresent your credentials, or operate under false pretenses.
Use any robot, spider, scraper, crawler, or other automated means to access, scrape, or extract data from the Services without our express written permission.
Introduce viruses, trojans, worms, logic bombs, or other malicious software or code designed to disrupt, damage, or compromise the Platform or our infrastructure.
Circumvent, disable, or interfere with security-related features of the Services or payment mechanisms.

6. Content Moderation, Platform Intermediary Status, and Good Samaritan Defense

Platform Intermediary: TeleMoi operates strictly as an intermediary communications platform and hosting facility. We do not pre-screen, monitor, verify, or endorse User Content uploaded by Admins or Members. All User Content is the sole responsibility of the person from whom such content originated.
Report-and-Takedown Mechanism: If you encounter content on TeleMoi that is provocative, infringing, unlawful, offensive, or otherwise in violation of this Agreement, you must report it immediately through our official contact channels with the exact URL, username, and description of the violation.
Right to Investigate and Remove: Upon receiving a user report, PFJC Digital Inc. reserves the right, in its sole discretion, to investigate, modify, refuse, disable access to, or permanently remove any User Content, or suspend or terminate any account, at any time, with or without notice, and without liability to you or any third party.
Waiver of Claims Against TeleMoi: In establishing complaint and moderation procedures, PFJC Digital Inc. acts as a voluntary Good Samaritan. To the maximum extent permitted by applicable law, you agree to waive and release PFJC Digital Inc., its directors, officers, and agents from any and all claims, demands, liabilities, or causes of action arising out of or related to our moderation decisions, our failure to remove content, our removal of content, or any third-party User Content posted on the Platform.

7. Financial Terms, Creator Earnings, and Payouts

a. Subscription Fees and Member Purchases

Members authorize PFJC Digital Inc. and its designated third-party payment processors (e.g., Stripe) to charge their provided payment method on a recurring or one-time basis for access to Admin communities, courses, or digital products.
All fees and transactions on TeleMoi are quoted and processed in United States Dollars (USD) unless expressly indicated otherwise.
Payments made by Members are non-refundable, except where required by mandatory consumer protection laws or explicitly agreed upon in writing by the Admin.

b. Admin / Member Transactions

TeleMoi provides the software infrastructure to facilitate transactions between Admins and Members. The underlying contract for content, community access, and digital deliverables is directly between the Member and the Admin. PFJC Digital Inc. is not a party to that transaction, does not guarantee the delivery or quality of any Admin’s content, and assumes no liability for an Admin’s failure to deliver promised materials.

c. Creator Earnings and Payouts

Calculation: Creator Earnings represent gross Member payments received, minus applicable platform transaction fees, payment processing fees, and chargeback reserves.
Payout Gateways: Payouts are made through approved third-party payout systems. You agree to comply with all terms and conditions of our payment processors.
Foreign Exchange and Transfer Fees: All earnings accrue in USD. Any currency conversion fees, foreign transaction fees, wire transfer fees, or intermediary bank charges incurred when transferring funds to your local bank account are your sole responsibility.
Taxes: Admins are solely responsible for determining, collecting, reporting, and remitting all applicable provincial, state, federal, value-added (VAT), goods and services (GST/HST), and income taxes related to their sales on TeleMoi.

d. Chargebacks, Refunds, and Earnings Withholding

If a Member initiates a dispute, credit card chargeback, or bank reversal for a purchase made in your community, PFJC Digital Inc. reserves the right to deduct the full amount of the dispute, along with any associated bank or processor chargeback fees, from your Creator Earnings or pending account balance.
Right to Withhold and Forfeit: We reserve the right to hold, freeze, or forfeit all or any portion of your Creator Earnings if:
1. We reasonably suspect or confirm that you have breached this Agreement, including the Acceptable Use Policy;
2. We detect unusual, fraudulent, suspicious, or illegal activity related to your account or payments;
3. Your account experiences an abnormally high rate of chargebacks, payment disputes, or refund requests; or
4. We receive legal process, court orders, or liens regarding your account earnings.
We may exercise a right of set-off, applying any funds owed to you against any damages, costs, chargebacks, or liabilities incurred by PFJC Digital Inc. as a result of your actions.

8. Intellectual Property Rights

a. TeleMoi Intellectual Property

PFJC Digital Inc. and its licensors retain all right, title, interest, and intellectual property rights in and to the Services, including but not limited to the TeleMoi software, user interface, visual designs, trademarks, service marks, domain names, algorithms, and documentation. You may not copy, reverse engineer, decompile, modify, or create derivative works of our software or branding without our prior written authorization.

b. User Content Ownership and License

You Own Your Content: As between you and PFJC Digital Inc., you retain full ownership of all original intellectual property rights in the User Content you upload or publish to TeleMoi.
License to TeleMoi: By uploading, posting, or transmitting User Content on or through the Services, you grant PFJC Digital Inc. a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to host, cache, store, reproduce, transcode, display, transmit, and distribute your User Content solely as necessary to operate, maintain, provide, and promote the Services to you and your authorized Members. This license terminates when you delete your User Content or account, except where content has already been distributed to or saved by Members who purchased lifetime or ongoing access.
Content Warranties: You represent and warrant that you own or have obtained all necessary licenses, consents, clearances, and permissions from all rightsholders to upload and monetize your User Content, and that your content does not infringe or violate any third party’s intellectual property, privacy, or moral rights.

9. Copyright Infringement Policy (Notice and Takedown)

PFJC Digital Inc. complies with the Canadian Copyright Act and follows safe-harbor standards under the United States Digital Millennium Copyright Act (17 U.S.C. § 512) (“DMCA”).

a. Filing a Notice of Infringement

If you believe that content hosted on TeleMoi infringes your copyright, you may submit a formal notification to our Designated Copyright Agent via our contact form or by mail to:

To be effective, your notice must include:

A physical or electronic signature of the person authorized to act on behalf of the copyright owner.
Clear identification of the copyrighted work claimed to have been infringed.
The specific URL, platform path, or location of the infringing material on TeleMoi, detailed enough to allow us to locate it.
Your contact details, including your full legal name, mailing address, telephone number, and email address.
A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

Upon receipt of a valid notice, we will promptly remove or disable access to the identified material and notify the affected user.

b. Counter-Notification

If you believe that your content was removed or disabled by mistake or misidentification, you may send a written Counter-Notification to our Copyright Agent containing:

Your physical or electronic signature.
Identification of the material that was removed and the location where it appeared before removal.
A statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification.
Your name, address, telephone number, and email address.
A statement that you consent to the jurisdiction of the provincial and federal courts located in Toronto, Ontario, Canada (or, if you reside outside of Canada, any judicial district in which PFJC Digital Inc. may be found), and that you will accept service of process from the person who provided the original notification.

If a valid Counter-Notification is received, we may restore the removed material within 10 to 14 business days unless the original complainant notifies us that they have initiated a court action seeking an injunction against the user.

c. Repeat Infringer Policy

PFJC Digital Inc. enforces a strict repeat-infringer policy. We will terminate the accounts of any users who are repeatedly reported or found to have engaged in copyright infringement.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICES, INCLUDING ALL CONTENT, SOFTWARE, FUNCTIONS, AND INFORMATION MADE AVAILABLE THROUGH THE PLATFORM, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
PFJC DIGITAL INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE SECURE, UNINTERRUPTED, ACCURATE, ERROR-FREE, FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SERVICES AND YOUR RELIANCE ON ANY INFORMATION OR CONTENT OBTAINED THROUGH THE PLATFORM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL PFJC DIGITAL INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, REPUTATIONAL DAMAGE, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION), REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE TOTAL AGGREGATE LIABILITY OF PFJC DIGITAL INC. ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE USE OF THE SERVICES SHALL UNDER NO CIRCUMSTANCES EXCEED THE GREATER OF:
1. THE TOTAL FEES ACTUALLY PAID BY YOU TO PFJC DIGITAL INC. IN THE THREE (3) MONTHS IMMEDIELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
2. ONE HUNDRED CANADIAN DOLLARS ($100.00 CAD).
THE FOREGOING LIMITATIONS REPRESENT THE FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND PFJC DIGITAL INC.

12. Indemnification

You agree to defend, indemnify, and hold harmless PFJC Digital Inc., its parent, subsidiaries, affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, actions, suits, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal and attorney fees) arising out of or related to:

Your access to or use of the Services;
Your User Content, including any claims that your content violates or infringes third-party intellectual property, privacy, publicity, or defamation rights;
Any breach or alleged breach by you of this Agreement, including the Acceptable Use Policy;
Any interaction, dispute, or transaction between you and any other user (including disputes between Admins and Members); or
Your violation of any applicable law, rule, or regulation.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to fully cooperate with our defense of such claims.

13. Dispute Resolution, Governing Law, and Arbitration

PLEASE READ THIS ENTIRE SECTION CAREFULLY. IT CONTAINS AN ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, AND A FORUM SELECTION CLAUSE.

a. Mandatory Informal Dispute Resolution

Before initiating any formal legal claim, arbitration, or lawsuit against PFJC Digital Inc., you agree to attempt in good faith to resolve the dispute informally. You must send a written notice of dispute via our official contact channels. The notice must contain:

Your full legal name, account username, and registered email address;
A detailed factual explanation of the nature and basis of your claim; and
The specific relief or monetary damages requested.

Upon receipt of the notice, you and an authorized representative of PFJC Digital Inc. agree to meet and confer via telephone or video conference within sixty (60) days to negotiate a resolution. Engaging in this informal dispute resolution process is a mandatory condition precedent before any arbitration or legal proceeding can be commenced.

b. Consumer Disputes (Members)

If you are an individual Member using the Services strictly for personal, non-commercial purposes (a “Consumer”), and the dispute cannot be resolved through the informal process, any claim or dispute arising out of or relating to this Agreement or the Services shall be brought and resolved exclusively in the Ontario Small Claims Court located in Toronto, Ontario, Canada, provided the claim falls within the monetary jurisdiction of that court.

c. Commercial Disputes and Binding Arbitration (Admins / Creators)

If you are an Admin, Creator, commercial user, or any party using the Services for business, income-generating, or non-consumer purposes, any unresolved dispute, controversy, or claim arising out of, relating to, or in connection with this Agreement, including its negotiation, validity, interpretation, performance, breach, or termination, shall be submitted to and finally resolved by binding arbitration:

Seat and Administering Body: The arbitration shall be seated in Toronto, Ontario, Canada, and administered by the ADR Institute of Canada (ADRIC) in accordance with the ADRIC Arbitration Rules in force at the time of the dispute.
Arbitrator: The arbitration shall be conducted before a single neutral arbitrator mutually agreed upon by the parties, or, failing agreement within thirty (30) days, appointed in accordance with ADRIC rules.
Language and Form: The language of the arbitration shall be English. The parties may agree to conduct proceedings remotely via video conference, telephone, or written submissions.
Authority: The arbitrator shall have the authority to grant dispositive motions and award monetary damages and equitable relief on an individual basis. The arbitrator's award shall be final, non-appealable, and binding on both parties, and judgment on the award may be entered in any court having jurisdiction.
Cost Allocation: The prevailing party in any arbitration proceeding shall be entitled to recover from the non-prevailing party its reasonable legal fees, expert witness fees, and administrative arbitration expenses.

d. Waiver of Class and Representative Actions

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS AND DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. NEITHER YOU NOR PFJC DIGITAL INC. SHALL CONSOLIDATE CLAIMS WITH THOSE OF ANY OTHER PERSON OR ENTITY IN ANY COURT OR ARBITRAL FORUM.
If this class action waiver is deemed illegal, invalid, or unenforceable with respect to a particular claim, that specific claim shall proceed exclusively in the courts of Toronto, Ontario, as outlined in Section 13(f).

e. Waiver of Jury Trial

YOU AND PFJC DIGITAL INC. UNCONDITIONALLY WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES.

f. Governing Law and Exclusive Jurisdiction

This Agreement, and any dispute arising out of or relating to it, shall be governed by, construed, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any conflict of law rules that would lead to the application of the laws of another jurisdiction.
To the extent that any matter is not subject to mandatory arbitration or Small Claims Court under this Section 13 (such as actions seeking injunctive relief to prevent intellectual property infringement), the parties irrevocably submit to the exclusive personal jurisdiction of the provincial and federal courts situated in Toronto, Ontario, Canada.

14. Term and Termination

Termination by You: You may terminate your account at any time through your account settings or by contacting us. Termination of an Admin account does not relieve you of obligations to fulfill existing Member subscriptions through the end of the paid billing period or settle outstanding chargeback liabilities.
Termination by TeleMoi: We reserve the right, in our sole and unfettered discretion, to suspend, disable, restrict, or permanently terminate your account and access to the Services, with or without cause, with or without prior notice, and without liability to you.
Survival: Sections 5, 6, 7(d), 8, 10, 11, 12, 13, 14, 15, and 16 shall survive any termination or expiration of this Agreement.

15. General Legal Provisions

Entire Agreement: This Agreement, together with our Privacy Policy and any other legal notices published on the Platform, constitutes the entire, complete, and exclusive agreement between you and PFJC Digital Inc. regarding the Services, superseding all prior proposals, agreements, representations, and understandings.
Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
No Waiver: No waiver of any term or condition of this Agreement by PFJC Digital Inc. shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
No Partnership or Agency: Nothing in this Agreement shall be construed to create any partnership, joint venture, employment, franchise, or agency relationship between you and PFJC Digital Inc.
Assignment: You may not assign, transfer, or delegate this Agreement or any of your rights or obligations hereunder without our prior written consent. We may freely assign this Agreement in connection with a corporate reorganization, merger, sale of assets, or by operation of law.
Language: It is the express wish of the parties that this Agreement and all related documents be drawn up in the English language. Il est de la volonté expresse des parties que la présente convention ainsi que tous les documents qui s'y rattachent soient rédigés en langue anglaise.
